@GaryMarcus The clawback applies only if they can't convert themselves to for-profit... Something Sam has essentially full control of. If that convinces someone, they're not dumb money - they're dumberer.

@titudeadjust It’s otherwise an equity raise, and I have not personally seen something with that kind of specific clawback. Of course I agree with your last sentence.

Interest on a debt raise is not unusual, @GaryMarcus . Nor is a PIK. Nor are dumb money investors igniting huge piles of cash to the benefit of a charlatan.
